The reason a free formation is not free.
Several large providers advertise a zero dollar formation. It is a real offer and there is nothing dishonest about it in itself. What it means is that the cost of acquiring you is recovered elsewhere: usually a registered agent renewal priced well above the market rate, an annual compliance subscription that starts quietly in year two, or a commission when you open the bank account they recommend.
None of that is hidden exactly. It is disclosed somewhere. It just is not the number on the advertisement, and by the time it applies you have already moved in.
We charge a visible fee once, keep the renewals at a normal price, and take no commission from anyone. Over three years the total is usually similar or lower. In year one it looks more expensive, and we would rather explain that than design around it.

Quoted against volume. We tell you when something you are paying for is no longer worth it, which occasionally means recommending you take a service back in house.

What is never in the bill.
What our fee never includes, and never quietly adds
- Government filing fees. Shown separately, quoted at the current rate, paid to the jurisdiction rather than to us.
- Expedite fees. Only if you ask for expedited processing and only at cost.
- The EIN itself. The IRS issues it free. We charge for preparation and follow up, never for the number.
- Banking. We do not sell accounts or cards and we take no referral commission from any institution.
- Beneficial ownership filing for US formed companies. FinCEN removed that requirement. We will not invoice you for something you do not have to do.
- Renewals you did not agree to. Nothing auto renews without a notice first, and monthly services end at the end of any month.
Common questions
Because a genuinely free formation is a customer acquisition cost that has to be recovered somewhere, usually through a registered agent renewal priced well above market, a compliance subscription, or a banking referral. We would rather charge once, visibly, and have you keep the choice about everything afterwards. If your only requirement is the cheapest possible filing, we are honestly not the best value.
No. The first conversation is free and it is genuinely a conversation, not a scripted qualification call. If the answer is that you do not need us yet, we will say so.
No minimum term on monthly services. They end at the end of any month with notice. Project work is quoted fixed before it starts.
Separately from ongoing service, quoted after we have looked at the file rather than before. We would rather spend an hour understanding what we are inheriting than give you a number we have to revise.
For larger catch up and reinstatement projects, yes, usually split across the stages of the work. Ask at the quote stage.
