The basis on which we work, in language we would be comfortable reading ourselves.
What we are
Northmark Formations prepares and files company formation documents and provides bookkeeping, payroll, tax and compliance services. We are not a law firm, we do not provide legal advice or legal representation, and no communication from us creates a lawyer client relationship.
Engagement
Work begins when we have confirmed scope and fees in writing and you have accepted. Fixed fee work is quoted before it starts. Ongoing monthly services continue until either side gives notice, and end at the end of the month in which notice is given.
Fees
Our service fee is separate from government filing fees, which are set by the relevant authority, are payable to that authority, and can change without notice. We quote the current government fee at the time of instruction. If it changes before filing we tell you before proceeding.
Your responsibilities
You are responsible for the accuracy and completeness of the information you give us. We prepare filings and returns from what you provide. If information is wrong or withheld, the consequences of a filing made on that basis rest with you.
Turnaround and government processing
We control how quickly we prepare and submit. We do not control how quickly a registry or tax authority processes. We give realistic expectations and tell you when something is waiting on them rather than on us. Government processing times are not guarantees.
Limitation
Our liability in connection with any engagement is limited to the fees paid to us for that engagement, except where liability cannot lawfully be limited. We are not liable for losses arising from information you did not give us or from decisions you took without asking.
Refunds
If we have not yet submitted a filing and you cancel, we refund our service fee less any work already performed. Once a government fee has been paid to a registry it is not recoverable by us. Where a rejection is our error, we correct and refile at our cost.
Ending the relationship
Either side can end it. Your records and accounting files are yours, and we will provide them and cooperate with whoever takes over without obstruction.
