Why founders choose New Mexico, and when they should not.
New Mexico is the quiet alternative to Wyoming for founders with no US presence. Its distinguishing feature is simple: an LLC formed there has no annual report requirement, which means that after the initial filing the only recurring cost is the registered agent.
For a dormant holding entity, a small digital business or a founder abroad who wants the fewest possible recurring obligations, that is a genuine advantage. Fewer deadlines is fewer opportunities to fall out of good standing.
The trade off is that New Mexico has a smaller ecosystem than Wyoming or Delaware. Some banks and processors are simply less familiar with it, which occasionally means more questions during onboarding.

Who New Mexico fits.
New Mexico usually suits
- Founders abroad who want the smallest possible annual burden
- Holding entities that own an asset and do nothing else
- Very small digital businesses where every recurring fee matters
- Second entities held alongside a main operating company
On fees. Government filing fees are set by the jurisdiction and change without notice, sometimes mid year. We quote the current fee for your specific filing at intake, confirmed against the authority on the day, rather than publishing a figure here that may be stale by the time you read it. Our own service fee is on the pricing page and does not change.

- How we track these
What a New Mexico entity owes each year.
| Obligation | Who wants it | When and how much |
|---|---|---|
| Annual report | None for LLCs | New Mexico does not require LLCs to file one. This is the entire reason the state is on the shortlist |
| Registered agent | Your agent | Annually. For most New Mexico LLCs this is the only recurring cost |
| Federal return | IRS | Unchanged by the state. Form 5472 with a pro forma 1120 still applies to a foreign owned single member LLC |
| Gross receipts tax | State, if you sell into New Mexico | New Mexico operates a gross receipts tax rather than a conventional sales tax. It applies to activity in the state |

New Mexico against Wyoming
Over five years, a New Mexico LLC that does nothing but exist is usually the cheapest entity in the country to maintain, because after formation there is only the registered agent. Wyoming adds an annual report each year.
The counterweight is familiarity. Wyoming has been marketed to remote founders for two decades and every bank compliance team has seen thousands of them. New Mexico appears less often, and unfamiliarity occasionally translates into more questions during onboarding, especially for an applicant with a foreign passport.
If the entity is a holding company, a dormant vehicle or a second entity alongside an established one, New Mexico is the efficient choice. If it needs to open accounts, take card payments and be recognised by counterparties from day one, the extra annual cost of Wyoming is usually money well spent.
What people get wrong about New Mexico
Federal tax filings still apply. A foreign owned single member LLC still files Form 5472 with a pro forma 1120 every year. The state has stepped back. The IRS has not.
The same rule as everywhere. If the business is genuinely being carried on in another state, that state will want the company registered there.
Wyoming and Delaware are recognised instantly by banks and payment processors. New Mexico occasionally attracts an extra round of verification questions, which is worth knowing before you choose it purely on price.
New Mexico questions
For LLCs, no annual report is required. Corporations are treated differently. This is the single reason most people consider the state.
Over several years, for an LLC that does nothing but exist, generally yes once the registered agent is the only recurring cost. Compare over five years rather than at formation.
Generally yes, occasionally with more questions than a Wyoming one. We will tell you what we are currently seeing before you choose.
